Terms of Service

1. Agreement

By accessing or using Deluge’s websites, registration flows, company portal, APIs, device clients, or related services (together, the “Services”), you agree to these Terms of Service. If you are accepting on behalf of a company or other legal entity, you confirm that you have authority to bind that organisation.

If you do not agree, do not use the Services.

2. The Services

Deluge provides software for business operations, including finance-related features, inventory and supply chain workflows, administration, reporting, and frontline tools such as point-of-sale where offered. Features depend on your subscription and configuration.

We may modify, suspend, or discontinue parts of the Services with reasonable notice where practicable, except where urgent security or legal reasons require immediate action.

3. Accounts and eligibility

You must provide accurate registration information and keep credentials secure. You are responsible for activity under your accounts and for ensuring your staff comply with these terms.

You must use the Services only for lawful business purposes and in line with any acceptable-use rules we publish.

4. Subscription and fees

Paid plans, billing cycles, taxes, and payment methods are described at signup or in your order. Fees are due as agreed; failure to pay may result in suspension or termination of access.

Unless stated otherwise, fees are non-refundable except where required by applicable law.

5. Your data and privacy

Our collection and use of personal information is described in the Privacy Policy. By using the Services, you acknowledge that processing may occur as described there.

6. Intellectual property

Deluge and its licensors retain all rights in the Services, branding, documentation, and underlying software. Subject to these terms and your subscription, we grant you a limited, non-exclusive, non-transferable right to use the Services for your internal business operations.

You must not reverse engineer, scrape, or misuse the Services except as permitted by law.

7. Disclaimer

The Services are provided “as is” and “as available” to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation. Business decisions remain your responsibility.

8. Limitation of liability

To the maximum extent permitted by applicable law, Deluge shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill, arising from use of the Services.

Our aggregate liability for claims arising out of these terms or the Services shall not exceed the amounts you paid to Deluge for the Services in the twelve (12) months before the claim, except where liability cannot be limited by law.

9. Termination

You may stop using the Services at any time. We may suspend or terminate access for breach of these terms, non-payment, legal risk, or extended inactivity as permitted by law.

Provisions that by nature should survive (including intellectual property, disclaimers, limitations, and governing law) will survive termination.

10. Governing law

These terms are governed by the laws of Zimbabwe, without regard to conflict-of-law rules. Courts in Zimbabwe shall have non-exclusive jurisdiction, unless mandatory consumer or local rules provide otherwise.
